Model Context Protocol connections are starting to show up in vendor deals, and most contract templates weren't written with them in mind. When a vendor's MCP server sits between an AI tool and a company's systems, the agreement has to account for questions a standard SaaS form handles poorly. What systems and data the server is allowed to reach. What happens to everything that moves through the connection, including prompts, retrieved context, and tool call results. How usage gets metered when volume depends on how an agent behaves rather than how many people log in. These deals often land on legal's desk with a short turnaround and an incomplete picture of the technical setup.
In this webinar, Laura Frederick, Hebe Doneski, and Matt Kohel will work through the commercial and data handling terms that tend to matter most in MCP agreements. The speakers will discuss how to define and limit the scope of access, how to approach pricing and usage metrics when consumption is driven by agent activity, and how to draft data provisions that reflect the way information actually moves through an MCP connection, including confidentiality, retention, logging, subprocessor disclosure, and restrictions on use for model training. They'll also cover the questions in-house counsel should ask the technical team before drafting, and where existing vendor forms tend to fall short.
